ELIGIBILITY: Open only to legal residents of fifty (50) United States and the District of Columbia, who are 21 years of age or older. Void where prohibited. Employees of Johnson & Johnson Healthcare Products Division of McNEIL-PPC, Inc. (“Sponsor”), Octagon, Inc. (“Administrator”) and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the immediate families (spouse, parents, children and siblings and their respective spouses, regardless of where they reside) and individuals living in the same households of such employees, whether or not related, are ineligible to enter or win a prize. Game is subject to all applicable federal, state and local laws and regulations.

HOW TO PLAY: You must have a registered profile at www.listerine.com to play. If you do not have a registered profile, establishing one is free. To play the game, go to www.listerine.com and follow the directions provided to login at the site (“game play”). Limit two (2) game plays per person and per e-mail address per day for the duration of the Game Period. There will be a total of two (2) winning moments each day of the Game Period, as fully described below. These winning moments will be randomly selected each day of the Game Period. One (1) winning moment will be randomly selected during the a.m. hours of a day, and one (1) winning moment will be randomly selected during the p.m. hours of a day. For the purpose of this game, a day will begin at 12:00 AM. ET and ends at 11:59 PM ET. The participant who is the first to play at a randomly selected winning moment, as determined by Sponsor, or the first participant to play after a randomly selected winning moment if no one plays at a randomly selected winning moment, as determined and verified by Sponsor, will receive an instant win message stating the prize potentially won and instructions on how to redeem the prize, subject to verification of eligibility and compliance with the terms of these Official Rules. Game plays must be received by 11:59 AM ET on September 1, 2008. Game plays generated by script, macro or other automated means will be void. Multiple game plays in excess of the stated limit by the same person using different email addresses will be void. If game plays are received from any person or email address in excess of the stated limitations, all game plays for that participant will be disqualified. Should multiple users of the same e-mail account play and a dispute thereafter arises regarding the identity of the participant, the authorized account subscriber of said e-mail account at the time of entry will be considered the participant and such participant must comply with these rules. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization, which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Odds of winning a prize will depend on the timing and number of eligible game plays received.

PRIZES: One Hundred and Thirty-four (134) Prizes are available to be awarded: Twenty-two (22) Deluxe Juice Machines (Approximate Retail Value (“ARV”): $135.00 each); Twenty-three (23) Premium Coffee Makers (ARV: $185.00 each), Twenty-two (22) Waterproof Speaker Systems (ARV: $100.00 each); Twenty-two (22) Gift Cards for Pre-Prepared Gourmet Meals Delivered to Your Door (ARV: $150.00 each); Twenty-three (23) Cashmere Throws (ARV: $160.00 each); or Twenty-two (22) Outdoor Fire Pits (ARV: $230.00 each). Total ARV of all prizes: $21,465.00. Winners will be responsible for all taxes (including federal, state and local taxes) and any other costs and expenses, including any cost of installation, associated with acceptance and use of a prize not described herein as being awarded. Prizes are not transferable, redeemable for cash or substitutable except by Sponsor who reserves the right at its discretion to substitute a prize or portion of a prize of comparable or greater value. All prize details are at Sponsor´s sole discretion. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. All prize details are at Sponsor´s sole discretion. Limit one (1) prize per person. Unclaimed prizes will not be awarded.

WINNER VERIFICATION: Potential winners may be required to execute and return an affidavit of eligibility and a liability release and, where legal, a publicity release within seven (7) days of date of issuance of those documents. Failure of a potential winner to comply within this time period, failure of any potential winner to comply with these Official Rules or the return of any prize or prize notification as undeliverable may result in prize being forfeited.

GENERAL CONDITIONS: By participating, participants agree as follows: a) to abide by these Official Rules, and to the decisions of Sponsor and the judges, which shall be final and binding in all respects; b) to the use of their names, cities and states of residence and/or likenesses by Sponsor and its designees if selected as a winner for advertising, promotional and other purposes in any or all media now or hereafter known throughout the world in perpetuity without additional compensation, permission or notification (except where prohibited by law); and c) that Sponsor, Octagon, Inc. and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and each of their respective officers, directors, shareholders, agents, and employees and all of its and their successors and assigns (collectively, the “Released Parties”) shall have no liability and shall be held harmless for any damage, loss or injury to a participant or any third party resulting from participation in this game or the use or misuse of any prize. Released Parties are not responsible for lost, interrupted or unavailable network, server or other connections, miscommunications, failed phone, computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other errors or malfunctions of any kind whether computer, network, technical, human, mechanical, electronic, seeding or otherwise relating to or in connection with this game, including, without limitation, errors or malfunctions which may occur in connection with the administration of the game, the processing of game plays or prize claims, the announcement of the prizes or in any game-related materials or for any damage to participant´s or other person´s hardware or software as a result of participation. Released Parties are also not responsible for game plays or prize claims that are incomplete, damaged, inaccurate, late, lost, stolen, misdirected, undelivered, garbled or delayed by computer transmissions or any combination thereof. Persons found tampering with or abusing any aspect of this game or whose conduct potentially compromised the game or who are in violation of these Official Rules as solely deter-mined by the judges will be disqualified and all associated game plays will be void. In the event the game is compromised by virus, bugs, non-authorized human intervention or other causes which corrupts or impairs the administration, security, fairness or proper play of the game, Sponsor reserves the right in its sole discretion to modify, suspend or terminate the game or any portion thereof. In the event more winning messages are issued or prize claims are received for any prize level than the number of prizes set forth in these Official Rules for such prize level, due to computer, network, technical, printing, seeding, human or other error or problem, Sponsor reserves the right, at its sole discretion, to conduct a random drawing from among all eligible, non suspect valid prize claims received for the prize at issue to award the proper number of prizes specified in these rules.

WINNER LIST: The names of the winners (available after 9/15/08) may be obtained by mailing a self-addressed, stamped #10 envelope to: Listerine 2X a Day, Time to Play Winners c/o Octagon, Inc., 800 Connecticut Avenue, Norwalk, CT 06854, for receipt no later than 9/30/08.
